Terms of Use

1. Scope of Application

These Terms and Conditions apply to all services and content provided by Clemens Haaser, IT Consultant based in Portugal, as well as to all contractual relationships between the service provider and its clients. By using this website or engaging any of the services offered, you agree to be bound by these terms and conditions.

2. Scope of Services

The services offered include consulting in the fields of information technology and digital strategy, particularly for businesses within the European Union. Services may be customized to meet individual client requirements and are subject to the terms agreed upon in the respective contract.

3. Formation of a Contract

A legally binding contract is concluded once a written proposal has been accepted via email or signed by the client. Inquiries submitted through the contact form or initial telephone consultations do not constitute a binding contractual relationship. The service provider reserves the right to decline inquiries without providing reasons.

4. Fees and Payment Terms

All prices are quoted in Euros (EUR). Billing shall be carried out in accordance with the agreed terms, and invoices are payable within 14 days of the invoice date unless otherwise agreed in writing. In the event of late payment, the service provider is entitled to charge statutory default interest as permitted by applicable law.

5. Intellectual Property and Usage Rights

Upon full payment, the Client is granted a perpetual right to use, modify, and maintain the deliverables for its own business purposes.

The Consultant retains ownership of all pre-existing intellectual property, methodologies, templates, tools, and know-how used in providing the services.

6. Liability

Services are provided to the best of the service provider's knowledge and in accordance with applicable professional standards. No guarantee is given regarding the achievement of specific results. The service provider shall not be liable for damages arising from improper use of the provided materials or from technical disruptions beyond the service provider's control. Liability is limited to cases of intent and gross negligence.

7. Governing Law and Jurisdiction

These Terms and Conditions shall be governed exclusively by the laws of the Portuguese Republic, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

To the extent permitted by law, the place of jurisdiction shall be the registered office of the service provider in Portugal.

Should any provision of these Terms and Conditions be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
